How do I purchase shares of Verde? Do you have a Direct Stock Purchase Plan?
Verde’s ordinary shares trade on the Canadian Toronto Stock Exchange (“TSX”) under the symbol “NPK”
and the OTCQX Best Market ("OTCQX") under the symbol "VNPKF".
To purchase shares, you will need to do so through a broker. If you do not have a brokerage account, you will need to open one. At this time, Verde does not have a direct stock purchase program.
Does Verde pay a dividend? Does it plan to?
Verde does not currently pay dividends and has not declared or paid dividends on its Ordinary Shares to date. The Company’s capital allocation remains focused on funding growth, expanding operations and maintaining financial discipline, while periodically evaluating alternatives to enhance shareholder returns. In 2022, the Company established an internal committee to assess shareholder remuneration alternatives. This topic is now addressed through the Company’s regular governance and capital allocation process. Any future decision on dividends will depend on factors such as cash generation, earnings, investment requirements, capital structure, applicable legal and regulatory requirements, and market conditions, and will be communicated to the market in due course. At this time, there is no formal decision or announced timeline for the initiation of dividend payments.

What is Kaapy®?
KAAPY® is a multinutrient fertilizer marketed in Brazil. It supplies potassium, silicon, magnesium and manganese and is produced with ultrafine particles that provide a greater surface area for interaction with the soil. Its formulation is designed to support gradual nutrient availability and efficient plant nutrition. KAAPY® formulations may be customized according to crop needs and production conditions.
What is Super Greensand®?
Super Greensand® is a multinutrient fertilizer brand marketed internationally by Verde. It is a source of potassium, silicon and magnesium, nutrients of progressive release. The product is free of sodium, chlorine, acidification, leaching, compaction and salinity, in addition to ensuring a residual effect of its nutrients. The raw material of Super Greensand® is Glauconitic Siltite, which is rich in the mineral glauconite. Glauconite has been continuously used in the United States as a fertilizer since 1760. Glauconitic Siltite has properties for the development and nutrition of plants, in addition to promoting the improvement of soil structure.
What is BAKS®?
BAKS® is a customizable multinutrient fertilizer that combines mineral nutrients with Verde’s proprietary fertilizer technologies. Depending on the formulation, it can supply potassium, magnesium, sulfur, boron, manganese and silicon. The 3D Alliance technology is designed to promote the homogeneous distribution of nutrients and reduce segregation, while Micro S Technology micronizes elemental sulfur to increase its surface area. BAKS® is formulated to support gradual nutrient availability and operational efficiency, with compositions adaptable to specific crops and production environments.
Certain BAKS® formulations may be chloride-free and may include silicon-bearing glauconitic siltstone. Depending on the formulation and recommended use, these characteristics are intended to support balanced crop nutrition and efficient field application. Product composition, nutrient guarantees and agronomic recommendations vary according to crop requirements, soil conditions and market, and should be confirmed in the applicable product specifications and technical guidance.
What is Mondé®?
MONDÉ® is a fertilizer source of silicon and manganese developed to support plant nutrition. Its formulation uses nanoparticles designed to increase the surface contact area and promote nutrient availability. According to Verde’s current product materials, the silicon supplied by MONDÉ® may help plants respond to biotic and abiotic stresses. The formulation may be customized according to crop and production-environment requirements.

What is 3D Alliance technology?
3D Alliance is a technology developed to transform the three-dimensional structure of the raw materials added to the fertilizer. The materials are subjected to physical transformations, increasing their specific surfaces and forming microparticles that release nutrients progressively. The fertilizers resulting from the mixture are homogeneous and are distributed evenly in the soil, without segregation.
What is Micro S Technology?
Micro S Technology® is Verde’s elemental sulfur micronization technology used in the production of sulfur-containing BAKS® formulations. By reducing particle size, the technology increases the surface area of elemental sulfur and is designed to improve its interaction with the soil. This greater surface area can support the microbial oxidation process through which elemental sulfur is converted into sulfate, the form available for plant uptake. Product performance may vary according to formulation, application method, soil characteristics and field conditions.
A peer-reviewed greenhouse study led by researchers from São Paulo State University (UNESP), with participation from Embrapa Soybean, evaluated soybean responses to four sulfur sources: elemental sulfur pastilles, gypsum, gypsite and powdered elemental sulfur. Under the study conditions, sulfur source and particle size influenced sulfur availability and yield-related responses. Elemental sulfur pastilles produced lower values for pods per plant, grains per plant and grain yield per pot than the other evaluated sources. The study did not evaluate Micro S Technology® or BAKS® directly; it provides supporting scientific context regarding the importance of particle size for elemental sulfur performance. What is N Keeper Technology?
N Keeper Technology is a proprietary processing technology for glauconitic siltstone that alters its physical-chemical properties to enable ammonia retention for use as a calibrated additive in Nitrogen fertilizers. N Keeper® accentuates the negative correlations in the glauconite grains, identified by electron micro spread dispersive energy spectrometer in an electronic microprobe, indicating cationic substitutions giving to the mineral the characteristics of an anion. These unbalanced anions allow cationic exchanges between the potassium present in interlayers of glauconite with ammonium (NH4+) ions present in the soil. Therefore, N Keeper® provides a high capacity of ammonia retention, leading to the reduction of Nitrogen volatilization loss, which provides the efficiency of crop fertilization’s increase, mitigation of environmental impacts, and reduction on climate changes.
What is Bio Revolution Technology?
Bio Revolution Technology is Verde’s technology that enables the incorporation of microorganisms to mineral fertilizers. K Forte® will be the first fertilizer in the world to use Bio Revolution technology. The Company has filed for patent protection of its Bio Revolution technology.
What is Dust Control Technology?
Dust Control Technology promotes a slight aggregation effect on the ultrafine particles of K Forte® and BAKS®, enabling the optimization of crop fertilization by reducing drift during application. The micro-particles are easily dispersed in the soil and their contact is maximized by the ultrafine particle size of Verde's fertilizers, providing uniform application and efficient nutrition to crops.
